Escola S.A. is a group of brands gathered around the mobile software industry. Over the 2 years of functioning as a joint stock company, we have created more than 20 applications for the banking, pharmaceutical, oil&gas and FMCG industries. You probably have at least one of our apps on your phone, and we keep working with our clients to make them, even more, user-friendly, faster, safer and most of all, useful!

Since 2019 we have decided to make the bold move to take over three mobile software development companies in Poland. We are acquiring 100% shares in companies, which will help us:

  • increase the number of clients in Poland and abroad
  • become the owners of two mobile products, which thanks to our investment can gain scale and achieve good ROI
  • increase the size of our software development team at Escola S.A.

ACHIEVEMENTS TO DATE

In 2018 alone we have delivered 15 mobile applications and 4 mobile websites. Our Orlen Mobile app was awarded the prestigious Mobile Trends Awards distinction. We also gained funding for creating our own product - an innovative app for the veterinary market - in the amount of PLN 791k. Our largest current contract amounts toPLN 630k net. During our many years of business, we have carried our IT project for numerous corporate clients and banks in Poland and abroad.

FUTURE INVESTMENT GOALS

As a result of this share offering in cooperation with Beesfund, we plan to invest in three mobile software development companies. We will acquire 100% of shares in each of those companies. The transaction shall allow us to develop own products, broaden our portfolio of clients and increase the size of the Escola software development team. We will use the raised funds not only to purchase the companies but also to scale own mobile products. The goals listed below include the costs of creating an application and entering the market and initial scaling of the product. In the scope of 2-3 years, we plan for our daughter companies to pay back the invested funds.

In case of every purchased company the founding team of the acquired company will receive a package of Escola S.A. shares. In addition, the mother company will support the development of the daughter companies.

COMPANY 1

A profitable company which develops mobile software for such brands as CD PROJECT RED.

COMPANY 2

A software company with over PLN 800k in revenues (PLN 150k in profits for 2018), with good international exposure.

COMPANY 3

The largest portal regarding Mobile Software in Poland. It will be the source of new business and increasing brand recognition for Escola.

Until the share offering campaign is complete we cannot publically announce the names of the companies which we intend to acquire. In case we raise less than PLN 800.000, Escola may decide to only acquire two out of the three presented companies.

In the past, he founded and sold successful startups in the EdTech industry. He gained corporate experience working for BCG on their mobile and web application projects. He holds a PhD in IT business models. As a speaker on IT/mobile, he takes part in KEY BUSINESS events such as the World Economic Forum in Davos or Global Agenda in London.

Chief Technology Officer (CTO)

Leader of international IT teams with more than 18-years of experience. He has managed numerous projects for corporate clients and banks. He is responsible for technical project overview at Escola.

He specialises in managing new technologies. Lecturer of Harvard University and MIT. One of the Board Members of global Wikipedia. Responsible for strategy in the field of new technologies and for indicating new areas for expansion of the company in terms of R&D along with its international development.

MARKET ANALYSIS

Currently, 50-60% of all internet traffic is generated by mobile devices. This number keeps on growing by several percents every year.

In 2017 there were more than 178 billion app downloads, in 2018 there were more than 200 billion (Statista, 2018). Currently, there are more smartphones than people on Earth.

Since 2016 internet traffic is generated mostly by mobile devices!

In 2017 all online advertising spendings amounted to nearly 4 billion PLN, 337 million more than a year before. It translates into a 9% growth - according to IAB.

In 2017 digital advertising in Poland achieved the value of PLN 3.96 billion, which means an increase of 9.3% compared to the previous year. 22.6% of that amount was spent on mobile. PLN 894.96 million - that’s how much money was spent on mobile in Poland in 2017.

After the first three quarters of 2018 online advertising investment grew by 400 million PLN, as result, the total mount exceeded PLN 3 billion. After three quarters of the year, mobile amounted to 25.9%, an increase of 44% y2y. Mobile is the quickest growing segment of the advertising market (data from IAB).

Valuation of the company was achieved based on the Discounted Cash Flow (DCF) Method. The Supervisory Board includes several renown experts in the field of company valuations and investment with broad experiences in the financial markets.

Yes. You can resell your shares at any time. It does not require any permissions, although you must inform the company of such a transaction.

Share ownership does not impose any obligations on the owner. Once a year you will receive an invitation to the General Assembly of Shareholders.

We think that companies are made to generate profits. We are not a startup, which isn’t profitable for many years to then bring (or not) spectacular profits. We do, however, follow the rule, that you can either share your minor profits at this stage or reinvest profits into the company with the intent to increase its value. Tech companies have a much higher rate of return, and they are valued differently, than capital companies in other industries. Therefore we plan not to pay any dividends until IPO or an acquisition by an industry investor, but rather invest profits into reaching new markets and acquiring smaller companies, which will allow us to obtain a better value upon public offering. In short - we bet on a long-term increase in the residual value of Escola S.A.

As the company develops, it’s value will grow. Since the foundation of Escola S.A. the company grew increasing its revenues, client portfolio, the scope of its services and products.
